ਵਿਕਰੇਤਾ ਸੇਵਾ ਸਮਝੌਤਾ

This Vendor Service Agreement ("Agreement") is executed between Hadakiya Technologies Pvt Ltd ("Platform") and the vendor whose details are furnished during on-boarding ("Vendor").

1. Appointment. The Platform appoints the Vendor as an independent seller for listing goods and services on Hadakiya Brothers and hadakiya.in. The Vendor is not an employee, agent or partner of the Platform.

2. KYC. The Vendor shall complete the 6-step KYC pipeline — Entity + PAN, GSTIN, Store geofencing, Document uploads, Bank penny-drop, MSA sign-off — before listing live inventory.

3. Compliance. The Vendor shall at all times hold valid PAN, GSTIN (where applicable per Section 24(ix) CGST Act), FSSAI (for food / grocery), Shop & Establishment / Trade licences, and comply with all state and central laws governing their trade.

4. Commission & TCS. The Vendor acknowledges that the Platform is an E-Commerce Operator ("ECO") under Section 52 of the CGST Act and will deduct TCS at 1% (CGST 0.5% + SGST 0.5% intra-state, or IGST 1% inter-state) on every taxable supply and file GSTR-8 by the 10th of the following month.

5. Platform fee. A category-wise commission as published in the Vendor Dashboard shall be retained on each delivered order. The commission is net of GST at 18%.

6. Settlement. Approved sales are settled to the Vendor's verified bank account weekly, net of commission, TCS and any lawful adjustments.

7. Pricing. The Vendor sets its own prices. The Platform may run promotions with the Vendor's written consent only.

8. Inventory accuracy. The Vendor undertakes to keep inventory, pricing and operating hours current. Over-selling resulting in cancellations may attract SLA penalties.

9. Product listings. All listings must comply with the Platform's category rules, include correct HSN codes, and never contain misleading claims.

10. IP & brand. The Vendor retains ownership of its brand, product content and trademarks, and grants the Platform a worldwide, royalty-free licence to display them for the duration of this Agreement.

11. SLA & penalties. The Platform may levy penalties for repeated cancellations, late dispatch, counterfeit products, or any breach of law.

12. Suspension & termination. The Platform may suspend or terminate the Vendor's account for breach, non-compliance, fraud or regulatory order. The Vendor may terminate with 30 days' written notice.

13. Confidentiality. Each party shall keep the other's non-public information confidential during and after the Agreement.

14. Governing law. This Agreement is governed by the laws of India. Exclusive jurisdiction lies with the competent courts at Mumbai, Maharashtra.

15. Entire agreement. This Agreement, the Terms & Conditions and Privacy Policy together form the entire agreement and supersede any prior oral or written understanding.
